Any individual or corporate entity intending to operate a commercial bank in Uganda must obtain authorization from the Bank of Uganda (BoU) under the Financial Institutions Act, 2004. This licence grants legal permission to engage in banking operations such as accepting deposits, offering loans, and conducting foreign exchange business.

Step-by-Step Procedure
- Preliminary Consultation
Contact the Bank of Uganda early to schedule a meeting with the Bank Supervision Department. The meeting helps clarify licensing requirements, capital adequacy, and operational standards. - Approval of the Proposed Name
- Seek Bank of Uganda’s approval to use the words “Bank” or “Finance” in your proposed institution name.
- Reserve the approved name at the Registrar of Companies for a small fee (UGX 20,000). The reservation process typically takes one working day.
- Company Incorporation
Once the name is approved by the Bank of Uganda, proceed to the Uganda Registration Services Bureau (URSB) to incorporate the company as a limited liability company. - Application for a Commercial Bank Licence
- Obtain the official application form from the Bank of Uganda or download it from their website.
- Fill out the form accurately and attach all required documentation.
- Submit the completed form to the Director, Bank Supervision Department, Bank of Uganda.
- Attach Supporting Documents
Include certified copies of:- Certificate of incorporation
- Memorandum and Articles of Association

If incorporated outside Uganda, provide:- Notarized board resolution approving the establishment of a branch or subsidiary
- Letter of no objection from the home country’s supervisory authority
- Confirmation that the home supervisor conducts consolidated supervision
- Proof that the promoters do not operate a shell bank
- Commitment to maintain minimum assigned capital in Uganda
- Capital Requirement
The minimum paid-up capital to start a commercial bank in Uganda is UGX 10 billion.
Each shareholder must declare that the funds are not proceeds of crime or illicit activity. - Approval in Principle
Upon satisfactory review, the Bank of Uganda grants an “Approval in Principle” allowing the applicant to:- Secure premises
- Install IT and banking systems
- Recruit management and staff
- Inspection by Bank of Uganda
After setting up, invite the Bank of Uganda to conduct an on-site inspection of your systems, premises, and operations. - Payment of Annual Licence Fee
If the inspection is satisfactory, pay the annual licence fee of UGX 10,000,000 in full (non-prorated). - Gazette Publication and Licence Issuance
The Central Bank publishes a notice in the Uganda Gazette officially recognizing the institution.
After publication, the commercial bank licence is issued, authorizing the institution to open to the public.

Validity

Important Instructions
- Obtain name approval from the Bank of Uganda before incorporation.
