If you are interested in becoming an investment advisor in Uganda, you need to apply for an investment advisor’s license from the Capital Markets Authority (CMA). This license is required to operate as an investment advisor and handle clients in the securities market. Below is a detailed guide on how to apply for this license.

Apply In-Person

  1. Visit the Capital Markets Authority Office
    • Begin by visiting the Capital Markets Authority (CMA) head office. You will need to obtain the application form for the Investment Advisor’s License.
  2. Complete the Application Form
    • Fill out the application form accurately. Be sure to provide all necessary information as incomplete forms will not be accepted.
  3. Attach the Required Documents
    • Gather and attach the following documents to your application:
      • Certified copy of Articles and Memorandum of Association
      • Certified copy of Certificate of Incorporation
      • Organizational structure
      • CVs of Board of Directors and Senior Management
      • Copies of identification (passport, national ID, etc.)
      • Business plan and audited financial statements
      • Performance Bond as required by CMA
  4. Pay the Application Fee
    • Pay the prescribed application fee of UGX 500,000 to the designated bank as instructed by the CMA. Keep the payment receipt as proof.
  5. Submit Your Application
    • Submit the completed form, along with the required documents and payment receipt, to the Capital Markets Authority.
  6. Application Review and Approval
    • Once submitted, the CMA will review your application. If all the documentation is in order, the CMA will assess your suitability to operate as an investment advisor.
  7. Issuance of License
    • After processing, the Investment Advisor’s License will be issued, usually within 45 days. You will be notified and can collect the license from the CMA office.

Required Documents

When applying for the Investment Advisor’s License, make sure to submit the following documents:

  • Completed application form (Form 1)
  • Certified copy of Articles and Memorandum of Association
  • Certified copy of Certificate of Incorporation
  • Organizational structure
  • CVs of Board of Directors and Senior Management
  • Passport-size photographs of directors and key personnel
  • Audited financial statements
  • Business plan
  • Performance bond as required by CMA
  • Evidence of payment of application fee
  • Taxpayer Identification Number (TIN) certificate
  • Certificate of good conduct from the police (for directors)
  • Bank statement for financial verification
  • Details of custodian bank(s) in Uganda

Eligibility

To apply for the Investment Advisor’s License, the following eligibility criteria apply:

  • You must be a registered company in Uganda.
  • You must meet the minimum financial and other requirements set by the Capital Markets Authority.
  • The company must demonstrate technical and financial capability to provide investment advisory services.
  • The applicant must adhere to the Capital Markets Authority regulations.

Fees

  • Application Fee: UGX 500,000
  • License Fee: UGX 1,500,000
  • Renewal Fee: Same as the initial license fee

Validity

  • The Investment Advisor’s License is valid for one year from the date of issuance.
  • The license must be renewed annually.

Processing Time

  • The maximum processing time for the Investment Advisor’s License is 45 days, which includes the time for verification, assessment, and final approval.
